Terms of Service

These Terms of Service govern access to and use of Midstream Pro, including the platform, applications, and related services. Last updated April 21, 2026.

Midstream Pro is software for workflow coordination, lifecycle visibility, record management, field support, and operational continuity across pipeline construction and operations. It does not replace qualified engineering, legal, compliance, or operational judgment.

1. Introduction

These Terms of Service govern access to and use of Midstream Pro, including the website, applications, hosted platform, and related services made available by Midstream Pro. By accessing or using the Services, the Customer agrees to these Terms. If an individual accepts these Terms on behalf of an organization, that individual represents that they have authority to bind that organization.

2. Definitions

"Services" means the Midstream Pro platform, applications, website, and related software or support services. "Customer" means the entity that purchases, accesses, or uses the Services. "Authorized User" means an individual permitted by Customer to use the Services under Customer’s account. "Customer Data" means data, records, files, submissions, and other information submitted to or processed through the Services on Customer’s behalf. "Third-Party Services" means external systems, software, devices, hardware, data sources, or services not controlled by Midstream Pro.

3. Eligibility and Use

The Services are intended for business, commercial, and organizational use. Customer represents that it is using the Services for legitimate business purposes and, where applicable, that each Authorized User has authority to access the Services in connection with Customer’s operational activities.

4. Use of Services

Customer may use the Services in accordance with these Terms, applicable documentation, and any executed order form or subscription agreement. Customer is responsible for all activity occurring under its accounts, for management of Authorized Users, and for maintaining the confidentiality of credentials and access methods.

5. Acceptable Use Restrictions

Customer and its Authorized Users may not use the Services to violate law, interfere with the Services, gain unauthorized access, probe or disrupt system security, introduce malicious code, misuse credentials, reverse engineer the Services except to the extent such restriction is prohibited by law, scrape or extract data in an unauthorized manner, or use unauthorized automation that compromises system integrity, performance, or availability.

6. Customer Data

As between the parties, Customer retains ownership of Customer Data. Customer grants Midstream Pro the limited rights necessary to host, process, transmit, store, back up, and otherwise use Customer Data solely to provide, secure, maintain, and support the Services. Customer is responsible for the legality, accuracy, quality, and appropriateness of Customer Data and for obtaining any required rights, notices, permissions, or consents related to that data.

7. Platform Role and Limitations

Midstream Pro provides software for workflow coordination, data visibility, record management, operational support, and lifecycle continuity across pipeline planning, construction, verification, and operations. The Services support documentation, visibility, and operational workflows, but they do not provide legal advice, engineering certification, survey certification, regulatory approval, or guaranteed compliance outcomes. Platform outputs, records, imported data, field-captured data, and integrated data should be reviewed by qualified personnel. Customer remains responsible for how platform data is used in project, compliance, engineering, field, and operational decision-making.

8. Third-Party Services

The Services may connect to or rely on Third-Party Services, including external software, infrastructure, hardware, GNSS receivers, GIS systems, or imported data sources. Midstream Pro is not responsible for the availability, performance, accuracy, security, or continued compatibility of Third-Party Services, and Customer remains responsible for evaluating how those external systems affect operational use.

9. Availability and Changes

Midstream Pro may update, modify, suspend, or discontinue features from time to time. Maintenance, outages, connectivity issues, or third-party dependencies may affect service availability. Unless expressly stated in a separate written agreement, Midstream Pro does not make a service-level commitment in these Terms.

10. Fees and Payment

If Customer purchases paid access to the Services, Customer agrees to pay all fees set out in the applicable order form, subscription agreement, or other written commercial terms. Fees are non-refundable except as expressly stated in a written agreement. Midstream Pro may suspend access for non-payment after any applicable notice period described in the parties’ commercial terms.

11. Confidentiality

Each party may receive non-public information from the other party that is designated confidential or that reasonably should be understood to be confidential. The receiving party will use the other party’s confidential information only as necessary to perform under these Terms and will protect it using reasonable safeguards. Confidential information does not include information that is public through no fault of the receiving party, already known without restriction, independently developed, or rightfully obtained from a third party without restriction.

12. Intellectual Property

Midstream Pro and its licensors retain all right, title, and interest in and to the Services, software, website content, documentation, trademarks, and related intellectual property. No rights are granted except as expressly stated in these Terms. Customer may not remove proprietary notices or misrepresent ownership of Midstream Pro materials.

13. Feedback

If Customer or its Authorized Users provide feedback, suggestions, enhancement requests, or recommendations regarding the Services, Midstream Pro may use that feedback without restriction or obligation, provided it does not publicly identify Customer as the source without permission.

14. Warranty Disclaimer

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Midstream Pro disclaims all express, implied, statutory, and other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Midstream Pro does not warrant that the Services will be uninterrupted, error free, fully accurate, or suitable for every customer workflow or regulatory context.

15. Limitation of Liability

To the maximum extent permitted by law, Midstream Pro will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, use, business interruption, or loss of data, even if advised of the possibility of such damages. Midstream Pro’s aggregate liability arising out of or related to these Terms or the Services will not exceed the amounts paid or payable by Customer to Midstream Pro for the Services during the twelve months preceding the event giving rise to the claim.

16. Indemnification

Customer will defend, indemnify, and hold harmless Midstream Pro from third-party claims arising from Customer Data, Customer’s misuse of the Services, Customer’s violation of law, or Customer’s breach of these Terms. Midstream Pro will promptly notify Customer of any such claim and provide reasonable cooperation at Customer’s expense.

17. Suspension and Termination

Midstream Pro may suspend or limit access to the Services if reasonably necessary to address security concerns, misuse, non-payment, legal risk, or threats to system integrity. Either party may terminate these Terms as permitted by an applicable order form or if the other party materially breaches these Terms and fails to cure within a reasonable period after notice. Upon termination, Customer’s rights to access the Services cease except as otherwise stated in a written agreement.

18. Governing Law

Unless otherwise stated in a signed order form or separate written agreement, these Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules, and the parties consent to venue in the state or federal courts with jurisdiction over Seneca, Missouri.

19. Changes to Terms

Midstream Pro may update these Terms from time to time. The updated version will be posted to this page with a revised last-updated date. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, subject to any applicable written agreement between the parties.
